TBP AUTO LIMITED WARRANTY

1. LIMITED WARRANTY FOR BRAKE DRUM EXPORT

TBP Auto Vietnam (“TBP Auto”) warrants to the original purchaser (“Purchaser”) that its brake drum products (“Products”) shall be free from defects in materials and workmanship under normal use and service for a period of one (1) year from the date of shipment.

If any Product fails to conform to this warranty during the warranty period, TBP Auto will, at its option, repair or replace the defective Product or issue a refund for the original purchase price of the affected Product. This warranty remedy shall be the sole and exclusive resolution available to the Purchaser and represents the full extent of TBP Auto’s liability in connection with any warranty claim.

2. WARRANTY CONDITIONS

This warranty applies only to Products that:

• Are installed and used in accordance with industry-standard practices;
• Have not been subject to misuse, abuse, negligence, accident, improper installation, or unauthorized modification;
• Are determined by TBP Auto, upon inspection, to be defective in material or workmanship.

All claims must be made in writing within the warranty period and include supporting documentation such as photos, purchase records, and installation/service history. TBP Auto reserves the right to inspect or request the return of the defective Product before processing any warranty claim. No returns will be accepted without TBP Auto’s prior written authorization.

3. EXCLUSIONS

This limited warranty does not cover:

• Normal wear and tear of wear components (e.g., brake drums);
• Failures caused by improper maintenance or the use of non-compatible components;
• Damage resulting from external causes such as accidents, fire, acts of God, or use outside recommended applications;
• Any rebuilt or reused components unless expressly warranted in writing.

4. LIMITATION OF LIABILITY

In no event shall TBP Auto be liable for:

• Any incidental, indirect, consequential, special, or punitive damages (including loss of use, revenue, or profits), whether arising in contract, tort (including negligence), or otherwise;
• Any bodily injury, death, or property damage related to the use, installation, or failure of the Product;
• Any claims exceeding the original purchase price of the affected Product.

This limitation shall apply notwithstanding the failure of any limited remedy to achieve its essential purpose.

5. DISCLAIMER OF OTHER WARRANTIES

Except as expressly provided herein, TBP Auto makes no other warranties, express or implied, including, without limitation, any warranties of merchantability, fitness for a particular purpose, or non-infringement. These disclaimers shall apply to the fullest extent permitted by applicable law.

6. DISPUTE RESOLUTION

Any disputes arising under this Warranty Policy shall be resolved through good faith negotiations. If not resolved, the matter shall be settled under the Rules of Arbitration of the International Chamber of Commerce (ICC), with the place of arbitration in Singapore, and the language of arbitration shall be English.

7. GEOGRAPHICAL SCOPE

This Limited Warranty applies only to brake drum products sold by TBP Auto Vietnam and exported outside of Vietnam. It does not apply to any brake drums sold, distributed, or installed within the territory of Vietnam. Warranty terms for domestically sold products, if any, are governed by separate agreements or local sales policies.
